You may want to post this in the main CMM group as I think you will get more feedback. We develop on XP 64 machines, and I'm not personally aware of any issues in using V4.1 on X64.
However, in older versions, you may have an issue with the portlock drivers, as I think they were updated to support the new OS, and V3.5 is unlikely to have them.
